Yes it should do, bare block and head. The only problem you might have is you'll have no where to bolt the coil packs down too as the 3.0 is HT leads. A 3.2 will have those holes in the head.

Post '98 2.5/3.0 heads are coilpack compatible as a rule... Might require camcovers to be swapped though :-\

Yep, 98 onwards cylinder heads have the extra casting web with tapped holes to allow a coil pack to be fitted, all thanks to the ignition setup used in the Caterra. Will require the 2.6/3.2 cam covers and electronics swapping over.
Also swap the exhaust manifolds off the 3.2 as well.
